Terms of Service

1. Acceptance of Terms

By creating an account or using PeriscopeAI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. Description of Service

PeriscopeAI is an AI visibility intelligence platform that tracks how brands appear in responses generated by AI models. The Service includes brand scanning, mention tracking, competitor analysis, GEO scoring, and related reporting and analytics features.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

3. Accounts and Access

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@periscopeai.app if you believe your account has been compromised.

You may not share your account credentials or allow others to access your account. Each account is for a single user. Team or multi-seat access, if offered, is governed by the specific plan terms for that feature.

We reserve the right to terminate or suspend your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion.

4. Subscription Plans and Billing

PeriscopeAI offers subscription plans with different feature sets and usage limits, as described on our Pricing page. By selecting a paid plan, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your selection).

All fees are in US dollars and are non-refundable except as required by law or as explicitly stated in these Terms. Plan downgrades or cancellations take effect at the end of the current billing period. You will retain access to paid features through the end of your paid period.

Scan Credits are consumption-based allowances included with your subscription. Unused Scan Credits do not roll over between billing periods. Credits consumed for scans are non-refundable.

We reserve the right to change pricing with 30 days' notice to existing subscribers. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

5. Automated Scans

Depending on your subscription plan, PeriscopeAI may automatically run scans on your behalf on a recurring schedule (for example, weekly for tracked brands) without requiring you to manually initiate each scan. These automated scans ("Autoscans") are included as part of your plan's functionality and are performed using the brand, category, and prompt configuration you have set up.

Autoscans do not consume Scan Credits. You can review your autoscan schedule and results in your dashboard. If you do not want Autoscans to run, you may archive or remove tracked brands from your account. Competitor rescans remain on demand and use Scan Credits.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to: (a) violate any applicable law or regulation; (b) infringe the intellectual property rights of others; (c) transmit harmful, offensive, or fraudulent content; (d) interfere with or disrupt the integrity or performance of the Service; or (e) attempt to gain unauthorized access to any part of the Service or its related systems.

You may not use automated tools (bots, scrapers, crawlers) to access the Service in a manner that exceeds normal usage or places unreasonable load on our infrastructure without our prior written consent.

We reserve the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending or terminating accounts, and reporting conduct to law enforcement.

7. Your Content and Data

You retain ownership of the brand names, keywords, and other input data you provide to the Service ("Your Content"). By submitting Your Content to the Service, you grant us a limited, non-exclusive license to use it solely to operate the Service and provide results to you.

You are solely responsible for Your Content and represent that you have all necessary rights to submit it and that doing so does not violate any third-party rights or applicable law.

We do not claim ownership of scan results or reports generated for your account. However, you acknowledge that scan results are generated outputs based on publicly available AI model responses and are provided on an "as is" basis.

8. Intellectual Property

The Service and its original content, features, and functionality — including the PeriscopeAI platform, scoring methodology, user interface, and branding — are owned by PeriscopeAI and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

The PeriscopeAI name, logo, and associated marks are trademarks. Nothing in these Terms grants you any right to use them without our written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Scan results reflect outputs from third-party AI models at a point in time and may not be accurate, complete, or current. You should not rely on scan results as the sole basis for business decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PERISCOPEAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless PeriscopeAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation. If not resolved within 30 days, disputes shall be finally settled by the Tokyo District Court as the court of first instance, unless otherwise required by applicable law. You waive any right to participate in a class action lawsuit.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

13. Termination

You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately.

We may terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination for cause, no refund of prepaid fees will be provided. Upon termination without cause, we will refund any prepaid fees for the unused portion of your current billing period on a pro-rata basis.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance.

If you disagree with the revised Terms, your sole remedy is to stop using the Service and cancel your account.

15. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PeriscopeAI regarding your use of the Service and supersede all prior agreements, understandings, or representations relating to the same subject matter.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. A waiver of any breach or default under these Terms will not constitute a waiver of any subsequent breach or default.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets, subject to notifying you as described in the Privacy Policy.
